CONTENTS
These Terms govern access to and use of the Platform by NDIS registered provider organisations and independent contractor support workers. They incorporate the Cancellation and Refund Policy and the Privacy Policy.
These Terms and Conditions (“Terms”) govern access to and use of the NDIS Cover Now platform (the “Platform”), operated by CareMarket Australia Pty Ltd (ACN 696 649 671, ABN 85 696 649 671), a company incorporated in Victoria, Australia (“CareMarket”, “we”, “us” or “our”). These Terms apply to (a) NDIS registered provider organisations that use the Platform to source workforce coverage (“Provider”, “you” where the context requires); and (b) independent contractor support workers who use the Platform to accept and deliver shifts (“Worker”, “you” where the context requires). References to “Party” or “Parties” mean CareMarket, a Provider and/or a Worker as the context requires.

1.2
Acceptance of Terms
By creating an account, accessing, or using the Platform, a Provider or Worker agrees to be bound by these Terms in their entirety, together with the CareMarket Cancellation and Refund Policy and CareMarket Privacy Policy, each of which is incorporated into, and forms part of, these Terms. If a Provider or Worker does not agree to these Terms, they must not access or use the Platform. CareMarket retains all right, title and interest, including all intellectual property rights, in the Platform and its applications, APIs and infrastructure. Each Provider and Worker receives only a limited, non-exclusive, non-transferable licence to access and use the Platform for the purposes permitted by these Terms.
1.3
Role of the Platform
CareMarket operates the Platform as a technology marketplace and workforce coverage infrastructure layer connecting NDIS registered providers with independent contractor support workers. CareMarket:
is not an NDIS provider and does not deliver, arrange, or take responsibility for the delivery of any NDIS-funded supports;
is not a party to any service agreement between a Provider and a Participant;
does not take over, assume, or replace any part of a Provider’s service agreement with a Participant;
does not act, and must not be represented as acting, as a support coordinator, plan manager or NDIA intermediary for any Participant;
is not a party to, and does not itself engage the Worker to perform, any Support Services Contract for the delivery of workforce coverage to a Provider; the Support Services Contract for each Shift is formed directly and exclusively between the Provider and the Worker who accepts that Shift; and
acts, in respect of the formation of each Support Services Contract and in respect of the payment functions described in clause 5, solely as the disclosed agent of the Provider and the Worker for the limited purposes described in clause 2.5, and not as principal, employer, or engager of the Worker’s labour.
The Parties acknowledge and agree that the Platform is, and is intended to remain, a business-to-business (and business-to-independent-contractor) marketplace. It is not, and must not become, participant-facing.
2.1
Participant Access
CareMarket does not connect NDIS Participants directly with Workers.
Participants do not have accounts, logins, or any user role on the Platform.
Participants cannot search for, view, select, request, or book Workers through the Platform.
Participants do not transact on the Platform, and no Participant plan funds are processed through the Platform as payment for supports.
2.2
Provider’s Retained Responsibility
The Provider retains, and remains solely responsible at all times for, the following matters, none of which CareMarket assumes, shares, or takes over by reason of the Provider’s use of the Platform:
the participant relationship and the participant service agreement in its entirety;
making and administering funding claims with the NDIA and/or the relevant plan manager;
setting and communicating support prices to Participants;
the delivery of NDIS-funded supports to the Participant;
managing and responding to incidents involving a Participant;
handling and resolving Participant complaints;
arranging replacement or additional staffing where a Shift is not filled or a Worker is unavailable;
compliance with all applicable NDIS Practice Standards and the NDIS Code of Conduct in respect of the Provider’s own operations and the supports it delivers.
2.3
CareMarket’s Limited Operational Role
CareMarket’s operational role under these Terms is limited strictly to:
providing the shift-posting technology by which Providers create and publish Shifts;
providing worker-matching functionality by which Workers may view and accept eligible Shifts;
verifying and displaying Worker credentials as described in clause 4;
providing the QR code attendance verification function described in clause 4.6;
providing payment routing infrastructure via Stripe Connect as described in clause 5; and
operating a platform-level complaints and dispute process limited to commercial disputes between Provider, CareMarket and Worker (see clause 11), and not extending to NDIS participant matters.
2.4
NDIS Incident Triage
Where any report, complaint, completion note, or other information received through the Platform indicates that an incident has occurred involving a Participant, CareMarket will, as soon as practicable, direct that matter to the responsible Provider and provide a documented handover of the relevant information received through the Platform. CareMarket does not investigate, action, or take responsibility for any Participant incident, and does not assume any function of the responsible Provider in respect of that incident. Responsibility for incident management, notification, and any reportable-incident obligations under the NDIS Practice Standards or the NDIS Code of Conduct remains with the Provider at all times.
2.5
Disclosed Agency
CareMarket acts as the disclosed agent of the Provider, and (in respect of the payment functions in clause 5) as the disclosed agent of the Worker, solely for the following limited purposes (“Disclosed Agency Functions”):
publishing the Provider’s offer to engage a Worker to perform a Shift on the terms posted;
communicating a Worker’s acceptance of that offer to the Provider, thereby bringing about a Support Services Contract directly between the Provider and the Worker;
generating and issuing, on the Provider’s behalf, documentation recording the terms of the Support Services Contract;
collecting the Shift Cost from the Provider, and remitting the Worker Amount to the Worker, as the Provider’s disclosed collection and payment agent, in accordance with clause 5;
verifying and displaying Worker Compliance Credentials.
CareMarket does not, by performing any Disclosed Agency Function, become a party to the Support Services Contract, become the Worker’s engager or employer, or assume any obligation of performance owed by the Worker to the Provider.
The Provider is the sole principal to, and sole party responsible for performance of, the Support Services Contract with the Worker. The Worker’s obligation to perform a Shift is owed to the Provider, not to CareMarket.
3.1
Account Creation and Verification
A Provider must create an account on the Platform and complete CareMarket’s provider verification process before posting any Shift. CareMarket may request evidence of the Provider’s NDIS registration status and other information reasonably required to verify the Provider’s identity and standing.
3.2
Posting a Funded Shift
A Provider may post a Shift specifying the start time, duration (minimum 4 hours, maximum 12 hours), location, rate, and any worker requirements. Shifts must be posted with a lead time of between 3 and 5 hours in advance of the Shift start time. A Shift must be prefunded or authorised by the Provider through Stripe before it becomes visible to Workers, in accordance with clause 5.
When a Worker accepts a posted Shift, a Support Services Contract on the posted terms is formed directly between the Provider and that Worker. CareMarket communicates the Provider’s offer and the Worker’s acceptance as disclosed agent under clause 2.5, and is not a party to the resulting Support Services Contract.
3.3
Provider Remains the Responsible NDIS Provider
The Provider remains, at all times, the responsible NDIS registered provider in respect of every Participant to whom supports are delivered by a Worker sourced through the Platform. Nothing in these Terms transfers, shares, or diminishes that responsibility.
3.4
Platform Fee
CareMarket charges the Provider a Platform Fee equal to 10% of the Worker’s hourly rate for every successfully completed Shift hour.
Carer Market Australia charges the Provider a Platform Fee equal to 10% of the Worker’s hourly rate for every successfully completed Shift hour. The Platform Fee rate is the same for weekdays, weekends and public holidays. The Platform Fee is a commercial fee charged to the Provider for the Provider’s use of the Platform’s workforce marketplace services. The Platform Fee is not deducted from, and does not form part of, any payment of an NDIS Amount under a Participant’s plan; it is invoiced and charged to the Provider only, and is calculated by reference to the Worker’s hourly rate, not by reference to any Participant plan payment.
The Platform Fee is a commercial fee charged to the Provider for the Provider’s use of the Platform’s workforce marketplace services. For the purposes of these Terms, GST has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Unless expressly stated otherwise, every amount charged or routed through the Platform, including the Worker’s hourly rate, the Base Shift Cost, the Worker Amount, the Platform Fee, the Stripe processing surcharge and any Stripe payout fee, is exclusive of GST. If GST is payable on a taxable supply, the recipient must pay the supplier an additional amount equal to the GST at the same time as the consideration for that supply, subject to receipt of a valid tax invoice. The Worker is responsible for issuing the Provider a valid tax invoice for the Worker Amount, CareMarket is responsible for issuing the Provider a valid tax invoice for the Platform Fee and the Stripe processing surcharge, and the Worker is responsible for obtaining from Stripe any tax invoice for a Stripe payout fee.
3.5
Provider Warranty as to NDIS Amounts
The Provider warrants that its use of the Platform does not, and will not, result in CareMarket receiving any NDIS Amount under a Participant’s plan through the Platform. The Provider further acknowledges that CareMarket does not seek, and must not be caused, to receive NDIS Amounts through the Platform in any form.
3.6
Provider Indemnity
The Provider indemnifies CareMarket against any loss, liability, cost, fine, or claim arising from the Provider’s failure to comply with its own obligations under the NDIS Act, the NDIS Practice Standards, the NDIS Code of Conduct, the participant service agreement, or any other law applicable to the Provider’s delivery of NDIS supports.
3.7
Misrepresentation of CareMarket’s Status
The Provider must not represent, suggest, or imply, in any communication with a Participant, the public, or any regulator, that CareMarket is an NDIS registered provider, or that CareMarket arranges, provides, or is responsible for the delivery of NDIS supports.
3.8
Provider as Principal Engager
The Provider is the principal engager of the Worker for each Shift performed by that Worker for the Provider. The Provider, and not CareMarket, is the party that offers to engage, and (on acceptance) engages, the Worker to perform the Shift. The Platform Fee charged to the Provider under clause 3.4 is CareMarket’s own fee for the Disclosed Agency Functions and platform infrastructure described in clause 2.5 and clause 2.3, and is not, and must not be characterized as, remuneration paid by CareMarket to the Worker for the Worker’s labour.
4.1
Independent Contractor Status
The Worker acknowledges and agrees that they perform Shifts as an independent contractor, engaged under their own active Australian Business Number (ABN). Nothing in these Terms creates an employment relationship between the Worker and CareMarket, or between the Worker and any Provider. The Worker is not an employee of CareMarket or of any Provider for any purpose.
The Worker acknowledges that the Worker’s Support Services Contract for each Shift is with the relevant Provider, formed as described in clause 2.5 and clause 3.2, and that CareMarket does not itself engage the Worker to provide, and owes no obligation of performance in respect of, any support services. CareMarket’s relationship with the Worker under these Terms is limited to the Disclosed Agency Functions and the platform functions described in clause 2.3.
4.2
Compliance Credentials
The Worker must obtain, and always maintain current while listed on the Platform, the following. CareMarket’s verification is limited to reasonable review of the credentials listed in this clause and does not constitute a guarantee of their authenticity or continuing validity, the Worker’s overall suitability, or any matter beyond that review:
a current NDIS Worker Screening clearance;
a Working With Children Check, where relevant to the Worker’s role or the participant cohort concerned;
a current First Aid certificate;
an active ABN;
current photo identification;
a current certificate of currency for public liability insurance; and
a connected and active Stripe Express account.
4.3
NDIS Code of Conduct Compliance
The Worker must comply with the NDIS Code of Conduct and all NDIS requirements applicable to workers engaged in the delivery of NDIS-funded supports, in respect of every Shift performed through the Platform.
4.4
Expiry Monitoring and Automatic Suspension
The Platform operates an automated expiry-monitoring system in respect of the credentials listed at clause 4.2. Where a credential lapses, expires, or is revoked, the Worker’s account will be automatically suspended from appearing on, or accepting Shifts through, the Platform until the credential is renewed and verified.
4.5
No Fee Charged to Workers
CareMarket does not charge the Worker any Platform Fee. The Worker receives the Worker Amount, being 100% of the Base Shift Cost for each successfully completed Shift hour, as described in clause 5, subject to Stripe’s own payout fees described in that clause.
4.6
Superannuation
The Worker’s Support Services Contract for each Shift is formed directly with the Provider, not with CareMarket, in accordance with clause 2.5 and clause 3.2. CareMarket is not a party to, and does not itself engage the Worker under, any contract for the Worker’s labour, and accordingly does not consider itself, on the basis of the arrangements described in these Terms, to be an employer of the Worker for the purposes of section 12(3) of the Superannuation Guarantee (Administration) Act 1992 (Cth) (“SGAA”).
The Provider, as principal to each Support Services Contract, is responsible for assessing and satisfying its own employment and superannuation guarantee obligations arising from its direct engagement of the Worker, including under the extended “employee” definition in section 12(3) of the SGAA, and CareMarket recommends that each Provider obtain its own legal and accounting advice on that question.
Nothing in this clause 4.6 constitutes advice to any Provider or Worker on their respective superannuation guarantee position, and CareMarket does not warrant that its own characterisation in paragraph (a) will be accepted by the Australian Taxation Office or any court or tribunal.
4.7
Shift Acceptance and Completion Obligations
A Worker who accepts a Shift must attend and perform the Shift in accordance with its posted terms, and must, on completion, submit the required completion notes and any incident information through the Platform.
4.8
QR Code Attendance Verification
The Platform uses a QR code scan-in function to verify a Worker’s attendance at the commencement of a Shift. This function verifies attendance only. It must not be used, and is not designed, to collect or store any Participant identity or health information; only attendance data is recorded for this purpose.
5.1
Stripe Connect Architecture
For each completed Shift, the Base Shift Cost is the Worker’s posted hourly rate multiplied by the number of successfully completed Shift hours, the Worker Amount is 100% of the Base Shift Cost, the Platform Fee is 10% of the Base Shift Cost, and the Shift Cost is the sum of the Worker Amount and the Platform Fee. The Provider’s total charge is the Shift Cost plus the Stripe processing surcharge described in clause 5.4. Payments in respect of each Support Services Contract are processed through Stripe Connect, structured so that the Worker Amount is a payment owed by the Provider to the Worker as principal parties to the Support Services Contract, collected and remitted by CareMarket solely as disclosed payment agent, as follows:
Stripe Processing Surcharge: Providers are responsible for the Stripe processing surcharge (approximately 1.7%–1.75% + $0.30 AUD per transaction for standard domestic cards), which is charged at checkout in addition to the Base Shift Cost. This surcharge is borne by the Provider and is not deducted from the Worker Amount.
Platform Fee: The Platform Fee (10% of the Base Shift Cost) is charged to the Provider only. It is not deducted from the Worker Amount and does not reduce the amount remitted to the Worker.
Pre-authorisation: On creation of a Shift, a Stripe PaymentIntent is created with manual capture enabled, pre-authorising the Provider’s payment method for the Shift Cost plus the Stripe processing surcharge; no funds are transferred at this stage.
Capture on assignment: When a Worker accepts or is assigned to the Shift, the authorised amount is captured. Funds captured under this clause are collected by Carer Market Australia solely as the Provider’s disclosed payment agent for the purpose of remitting the Worker Amount to the Worker; beneficial entitlement to the Worker Amount component vests in the Worker, and beneficial entitlement to the Platform Fee component vests in Carer Market Australia, from the time of capture. Carer Market Australia does not hold the Worker Amount as its own funds or as an amount owed by Carer Market Australia to the Worker.
Completion and distribution: On completion of the Shift, the Platform Fee (10% of the Base Shift Cost) is retained by Carer Market Australia in its own right as its agreed fee for the Disclosed Agency Functions and platform services, and the Worker Amount (90% of the Base Shift Cost) is transferred to the Worker’s connected Stripe Express account. Carer Market Australia remits the Worker Amount solely as disclosed payment agent for the Provider, not as employer. This payment flow does not constitute employee remuneration.
No NDIS amounts: Carer Market Australia does not hold funds as principal, does not invoice Participants, plan managers or the NDIA, and does not control or receive NDIS amounts. All amounts described in this clause 5 are amounts payable by the Provider to the Worker under the Support Services Contract, collected and remitted by Carer Market Australia solely in its capacity as disclosed payment agent under clause 2.5.
5.2
Settlement Timing
Once transferred, funds ordinarily take 2 business days to move from pending to available in the Worker’s Stripe balance. Due to standard anti-fraud and identity verification protocols, a Worker’s first withdrawal may take up to 7 business days to settle. Business days for this purpose mean Monday to Friday, excluding public holidays.
5.3
Worker Payout Options
| Payout Type | Fee | Timing |
|---|---|---|
| Standard bank payout | 0.25% + $0.25 AUD | 1-2 business days |
| Instant payout | 1%-1.5% + $0.25 AUD | Within minutes |
5.4
Stripe Processing Surcharge
The Stripe processing surcharge is calculated on the Shift Cost and Platform Fee at Stripe’s applicable processing rate (approximately 1.7%–1.75% + $0.30 AUD per transaction for standard domestic cards), is borne by the Provider, and is charged at checkout in addition to the Base Shift Cost. The surcharge is a third-party processing cost passed through to the Provider at cost.
5.5
No Participant Funds, No CareMarket Custody Outside Stripe
CareMarket does not invoice Participants, plan managers, or the NDIA for any service. CareMarket does not deduct any fee from any Participant’s NDIS plan funds. CareMarket does not hold funds in a CareMarket bank account outside the Stripe-configured payment flow described in this clause 5. The Worker Amounts described in this clause 5 is an amount payable by the Provider to the Worker under the Support Services Contract, collected and remitted by CareMarket solely in its capacity as disclosed payment agent under clause 2.5, and is not NDIS Amount under a Participant’s plan. CareMarket’s only own-account entitlement in respect of any Shift is the Platform Fee described in clause 3.4 and clause 5.1.
5.6
Reconciliation and Record-Keeping
CareMarket reconciles shift, verification, payment and complaint records on an ongoing basis. Records of Shifts, Worker verification, payments, and complaints are retained for a minimum period of 7 years.
Cancellation, replacement and refund rules are set out and governed by the CareMarket Cancellation and Refund Policy, which forms part of these Terms.
Any representation that a Worker is “verified” must be precisely defined by reference to the specific checks actually performed by CareMarket as listed at clause 4.2 herein, and must be consistent across all marketing materials, the App Store or Play Store listings, investor materials, and in-app content. Such a representation must not state or imply that CareMarket guarantees the authenticity or continuing validity of the credentials, the Worker’s overall suitability, or any matter beyond its reasonable review of those checks. No marketing or in-app content may suggest, state, or imply that CareMarket is an NDIS registered provider, or that CareMarket arranges or provides NDIS supports. All Platform Fee and pricing disclosures must be accurate, complete, and displayed prominently to Providers and Workers before a Shift is posted or accepted, as applicable.
8.1
Unfair Contract Terms Regime
The Parties acknowledge that these Terms may constitute a standard form small business contract to which the unfair contract terms regime under sections 23 to 28 of the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), as amended with effect from 9 November 2023, may apply where a Provider or Worker employs fewer than 100 persons or has an annual turnover of less than $10,000,000.
8.2
Severability of Unfair Terms
If any term of these Terms is found by a Court or tribunal of competent jurisdiction to be void as an unfair contract term under the Australian Consumer Law, that term is severed from these Terms, and the remainder of these Terms continues in full force and effect.
8.3
Consumer Guarantees Not Excluded
Nothing in these Terms excludes, restricts, or modifies any non-excludable consumer guarantee available to a Provider or Worker under sections 60 to 62 of the Australian Consumer Law, except to the extent, if any, permitted by section 64A of the Australian Consumer Law. CareMarket does not purport to exclude any statutory remedy available to a Provider or Worker under applicable law.
8.4
Proportionate Suspension
Any suspension of a Provider’s or Worker’s account will be proportionate to the underlying ground for suspension and will not be punitive in nature or effect. See further clause 10.
8.5
Variation Notice
CareMarket will provide reasonable advance notice to Providers and Workers before any unilateral variation of these Terms takes effect, other than variations required immediately to comply with law or to address an imminent security or safety risk.
8.6
Controlled Set-Off
Any right of CareMarket to set off amounts owing between the Parties will be exercised on a controlled and notified basis only, CareMarket will notify the affected Provider or Worker of the amount and basis of any set-off before or promptly after it is applied and is not an absolute or unlimited right of set-off.
9.1
Mutual Indemnities
Each of CareMarket, the Provider and the Worker indemnifies the other against loss arising from its own breach of these Terms, on a proportionate basis referable to the extent of that Party’s own fault or default, and not otherwise. The Provider also indemnifies CareMarket against any loss, liability, cost, fine, penalty, or claim arising from employment or superannuation obligations resulting from the Provider’s direct engagement of a Worker under a Support Services Contract, except to the extent caused by CareMarket’s breach of these Terms.
9.2
Insurance Requirements
The Worker must hold and maintain current public liability insurance in accordance with clause 4.2. Each Provider must hold and maintain its own insurances appropriate to its registration and operations as an NDIS registered provider, including any insurance required by the NDIS Practice Standards or its own risk management obligations.
9.3
Limitation of CareMarket’s Liability
CareMarket’s liability under these Terms is limited to matters within its actual control; namely, the technology platform functions described in clause 2.3. CareMarket excludes liability, to the maximum extent permitted by law (and subject always to clause 8.3), for the Provider’s delivery of NDIS supports and for the Provider-Worker services relationship, neither of which is within CareMarket’s control. CareMarket’s aggregate liability under or in connection with these Terms, including under clause 9.1, is capped at the total Platform Fees received by CareMarket in connection with the affected Provider’s or Worker’s use of the Platform in the 12 months preceding the event giving rise to the first claim.
10.1
Grounds
CareMarket may suspend or terminate a Provider’s or Worker’s account on any of the following grounds:
lapse, expiry, or revocation of a required credential (Worker) or verification status (Provider);
material breach of these Terms;
suspected or actual fraud;
non-payment by a Provider of amounts properly due under these Terms; or CareMarket’s election, on reasonable notice to the Provider or Worker, to terminate the account or discontinue access to the Platform without requiring any default by the Provider or Worker.
10.2
Fair Process
Where practicable, CareMarket will give notice before suspending or terminating an account, and any response taken will be proportionate to the underlying ground, consistent with clause 8.4. Immediate suspension without prior notice may occur only where reasonably necessary to address fraud, an imminent safety risk, or a legal obligation.
10.3
Effect on Funds in the Payment Flow
Suspension or termination of an account does not affect amounts already captured into escrow for a Shift that has been completed in accordance with these Terms; such amounts will continue to be processed and distributed in accordance with clause 5. Amounts relating to a Shift that has not been completed will be dealt with in accordance with the Cancellation and Refund Policy referred to in clause 6.
Disputes between a Provider, a Worker and/or CareMarket concerning commercial matters arising under these Terms including Platform Fees, payments, Shift cancellations, or account suspension should first be raised through CareMarket’s internal escalation process for resolution. NDIS-related disputes concerning the delivery of supports to a Participant are not matters for CareMarket and must be directed to, and resolved with, the responsible Provider, consistent with clause 2.4.
If a commercial dispute within CareMarket’s remit cannot be resolved through internal escalation, the Parties will refer the dispute to an independent resolution process, such as mediation, before pursuing other remedies.
CareMarket’s collection, use, storage, and disclosure of personal information is governed by the CareMarket Privacy Policy, which is separate from, and incorporated by reference into, these Terms.
Consistent with the Platform’s role boundaries described in clause 2, the Platform is designed on a data-minimisation basis: it collects and stores Participant personal or health information only to the minimum extent required for completion records described in clause 4.7 and incident handover described in clause 2.4, and not for the QR attendance verification function described in clause 4.8. CareMarket maintains processes to comply with the Notifiable Data Breaches scheme under the Privacy Act 1988 (Cth).
13.1
Governing Law
These Terms are governed by the laws of Victoria, Australia, and the Parties submit to the non-exclusive jurisdiction of the courts of Victoria.
13.2
Entire Agreement
These Terms, together with the CareMarket Cancellation and Refund Policy and the CareMarket Privacy Policy, constitute the entire agreement between the Parties in respect of their subject matter, and supersede all prior negotiations, representations, and agreements on that subject matter.
13.3
Variation
CareMarket may vary these Terms in accordance with clause 8.5. Continued use of the Platform after a variation takes effect constitutes acceptance of the varied Terms.
13.4
Assignment
A Provider or Worker may not assign or transfer their rights or obligations under these Terms without CareMarket’s prior written consent. CareMarket may assign or transfer its rights and obligations under these Terms in connection with a bona fide corporate reorganisation, sale, or transfer of its business.
13.5
Notices
Notices under these Terms must be given in writing via the contact details or in-Platform notification functions notified by CareMarket from time to time.
13.6
Survival
Clauses which by their nature are intended to survive termination of these Terms including clauses 3.5, 3.6, 5, 8, 9, 11, 12 and 13 survive termination or expiry of a Provider’s or Worker’s account.
